Public Offer Agreement

 

 

for ordering, purchase, and delivery of goods

(online store “by Ianniv”)

 

This Agreement is an official public offer (hereinafter — the “Offer”) of the Seller — Private Entrepreneur Kateryna Denysivna Okhrimenko — to conclude a distance sales agreement under the terms set forth below. The terms of this Offer are the same for all Buyers, regardless of their status.

 

 

 

1. Definitions

 

 

1.1. Offer — the public proposal of the Seller to an indefinite number of persons to conclude a distance sales agreement under the terms of this Offer.

1.2. Online store / Website — the web resource “by Ianniv” at https://www.ianniv.studio/ through which goods are sold.

1.3. Goods — the products offered by the Seller on the Website that may be ordered remotely.

1.4. Order — the selected Goods placed by the Buyer into the cart and confirmed for purchase.

1.5. Buyer — an individual or legal entity who has accepted the terms of this Offer and placed an Order.

1.6. Seller — Private Entrepreneur Kateryna Denysivna Okhrimenko, who sells Goods under this Offer.

 

 

 

2. Subject of the Agreement

 

 

2.1. The Seller undertakes to transfer the Goods to the Buyer’s ownership in accordance with the Order, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

2.2. The moment of conclusion of the Agreement (acceptance of the Offer) occurs when the Buyer clicks the “Confirm order” button on the Website and receives confirmation of the order from the Seller by email.

 

 

 

3. Placing an Order

 

 

3.1. The Buyer places an Order through the “Cart” form on the Website or in another manner provided on the Website (e.g., through a contact center).

3.2. The Seller has the right to refuse processing the Order if the information provided by the Buyer is incomplete or raises doubts about its validity.

3.3. When placing an Order, the Buyer must provide:

 • surname, first name

 • contact phone number

 • delivery address

 • other data necessary for order fulfillment

3.4. Information about the Goods (name, article number, quantity, price) is displayed in the Order on the Website.

3.5. The Buyer is responsible for the accuracy of the information provided when placing the Order.

3.6. Placing an Order constitutes the Buyer’s consent to the terms of this Offer, the Privacy Policy, and the processing of personal data.

 

 

 

4. Price and Payment Procedure

 

 

4.1. The prices of the Goods are indicated on the Website and may be changed by the Seller unilaterally.

4.2. The price confirmed by the Buyer when placing the Order cannot be changed by the Seller unilaterally.

4.3. The cost of the Goods does not include delivery charges.

4.4. The Buyer pays for delivery separately — according to the tariffs of the chosen delivery service.

4.5. The Buyer’s payment obligation is deemed fulfilled once the funds are credited to the Seller’s account or another payment method specified by the Seller.

4.6. Payment methods are specified on the Website in the “Payment” section.

 

 

 

5. Delivery and Transfer of Goods

 

 

5.1. Delivery is carried out by courier services or postal operators in Ukraine, Europe, and the USA.

5.2. The terms and conditions of delivery depend on the selected service and are indicated on the Website.

5.3. Upon receipt of the Goods, the Buyer must check:

 • the correspondence of quantity and assortment

 • the integrity of the packaging

5.4. The risk of accidental loss or damage of the Goods passes to the Buyer at the moment of receipt of the Goods or transfer to the carrier (depending on the delivery terms).

5.5. The Buyer confirms the absence of claims regarding the quantity and external condition of the Goods by signing the delivery document or by other proof of acceptance.

 

 

 

6. Return of Goods

 

 

6.1. Return of Goods of proper quality:

 The Buyer has the right to return non-food Goods of proper quality within 14 calendar days from the date of receipt (provided that the Goods preserve their marketable condition, packaging, labels, and consumer properties).

 However, Goods that are not subject to return are listed in Ukrainian law (perfume and cosmetic products, hygiene products, aerosol-packaged products, etc.).

6.2. Return of Goods of improper quality is carried out in accordance with the Law of Ukraine “On Consumer Protection.”

6.3. If a return is accepted, the Seller refunds the value of the Goods in the same way the payment was made within 7 calendar days from the date of receipt of the returned Goods, subject to compliance with return conditions.

6.4. Delivery costs for returning Goods of proper quality are not reimbursed by the Seller (unless otherwise agreed by the parties).

 

 

 

7. Liability of the Parties

 

 

7.1. The Seller shall not be liable for losses caused by improper use, storage, or installation of the Goods by the Buyer.

7.2. The Seller shall not be liable for failure to fulfill obligations due to inaccurate information provided by the Buyer.

7.3. The Parties shall be liable for violations of this Agreement in accordance with the applicable laws of Ukraine.

7.4. Force majeure: the Parties are released from liability for non-performance of obligations due to force majeure circumstances (war, natural disasters, technical failures, etc.). The Party unable to fulfill obligations must immediately notify the other Party.

 

 

 

8. Confidentiality and Personal Data

 

 

8.1. By providing personal data when placing an Order or registering, the Buyer consents to its processing, use, and transfer in accordance with this Offer and the Privacy Policy.

8.2. The Seller undertakes not to disclose the Buyer’s personal data, except as required by law or necessary to fulfill the Order (e.g., transfer to a courier service).

8.3. The Buyer undertakes to keep personal data up to date. The Seller is not liable for the consequences of using outdated data.

 

 

 

9. Termination of the Agreement

 

 

9.1. Either Party may terminate this Agreement by notifying the other Party in writing no later than 10 calendar days in advance (unless otherwise agreed).

9.2. The Seller has the right to unilaterally terminate the Agreement in case of:

 • violation of this Agreement by the Buyer

 • provision of false information by the Buyer

9.3. The Buyer has the right to terminate the Agreement at any time, provided that payment has been made for Goods/services actually provided up to the date of termination (if applicable).

9.4. In case of termination, payments already made that were not used under the terms of the Agreement are not refundable unless otherwise agreed by the Parties.

 

 

 

10. Dispute Resolution

 

 

10.1. All disputes shall be resolved through negotiations.

10.2. If no agreement is reached, disputes shall be settled in courts under the applicable laws of Ukraine at the Seller’s place of registration.

 

 

 

11. Validity of the Offer

 

 

11.1. This Offer is effective from the moment of its publication on the Website until its cancellation or replacement with a new version.

11.2. Amendments to this Offer shall be published on the Website.
